Regulatory Notice

Private Market Terminal is a software, information, and communication facility provided by Raari L.L.C FZ. Raari L.L.C FZ operates as a licensed commercial broker, marketing manager, and e-commerce provider under Meydan Free Zone regulations.

Private Market Terminal does not execute financial transactions, hold customer funds, custody assets, provide investment advice, or conduct regulated financial activity or public solicitations for securities or funds.

1. Non-Intermediary & No Broker-Dealer Status

Private Market Terminal operates strictly as a technology communications conduit. Neither Raari L.L.C FZ nor its software platform is registered as a broker-dealer, financial investment advisor, asset manager, or placement agent under the UAE Securities and Commodities Authority (SCA), DFSA, FSRA, U.S. SEC, UK FCA, or any other financial market regulatory authority. The platform facilitates technology-driven information exchange; it does not hold customer funds or execute financial investments.

2. Third-Party Legal Tools & Non-Party Status

Any standardized legal templates, digital MNDA tools, or transaction parameters provided on the platform are supplied purely for technical convenience. Raari L.L.C FZ is not a party to any bilateral agreement, side letter, or transaction executed between users. Users retain full responsibility for their legal agreements and obligations.

3. No Audit or Independent Verification Warranty

Platform badges, self-reported metrics, track records, and reported asset metrics are provided directly by platform users. Raari L.L.C FZ does not audit, verify, or guarantee the solvency, identity, or legal compliance of any participant. Users are required to perform their own independent financial, legal, and regulatory due diligence before entering into off-platform agreements.

4. "As-Is" Provision & Liability Limitations

The platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by UAE law:

• Raari L.L.C FZ disclaims all warranties, express or implied.

• Raari L.L.C FZ shall not be liable for any indirect, incidental, consequential, capital loss, missed opportunities, or data breaches resulting from user communications or off-platform dealings.

• Aggregate liability under all legal claims is capped strictly at the total membership fees paid by the user to the platform in the preceeding 90 days.

5. Governing Law & Jurisdiction

This Legal Disclosure and all platform activity are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai. Any legal proceedings related to the platform shall fall under the exclusive jurisdiction of the Courts of Dubai, UAE.
